Commercial Contract Drafting & Review

For procurement, manufacturing, sales, distribution and cooperation contracts, connect the business objective with workable payment, delivery, acceptance and responsibility terms.

01

Explain how the transaction works

Explain the parties, goods and funds flows, objectives, negotiation status and main concerns. A template alone does not establish how the business actually operates.

02

Review the contract and its schedules

Include specifications, quotations, orders, acceptance standards, changes and confirmations. Standards and responsibility spread across versions and chats can produce inconsistent expectations.

03

Agree the review output

Agree whether the output is revisions, a risk note, factual questions or negotiation points. Parties, versions, languages and negotiation participation affect the scope and fee.

04

Plan for performance problems

Review whether notice, acceptance, cure, termination, records, dispute and implementation terms fit the workflow. A standard template is not the final answer for every transaction.

Scope and limitations

Confirm document languages and legal scope first. Foreign law, technical standards and other specialist issues may require additional input.

Start with a short summary

Describe your role, the other party, events, current stage and objective. Add amounts and currency for transactions. A brief summary is enough to start.
